Binding Agreement. By accessing our website, creating an account, purchasing any service, or using any part of the Preneurdemy platform, you confirm that you have read, understood, and agreed to be legally bound by these Terms. If you do not agree, you must not access or use our services.

Introduction and Acceptance

1.1 Who We Are

Preneurdemy Ltd ("Preneurdemy", "we", "us", "our") is a digital education and talent development company incorporated in the Federal Republic of Nigeria under the Companies and Allied Matters Act (CAMA) 2020, CAC Registration Number 9253638. We operate globally through our digital platforms and services.

1.2 What These Terms Cover

These Terms govern the entire relationship between you and Preneurdemy in connection with all services and platforms we operate, including training programmes, the Tech.Preneurdemy platform, mentorship and trial facilitation, digital content and certifications, Vision1000 sponsorships, and the Partner Programme.

1.3 Acceptance

You are deemed to have accepted these Terms upon the earliest of: accessing or browsing our website; creating or activating an account; completing a purchase; or using any feature or resource on any Preneurdemy platform.

Service Commencement Acknowledgement. You expressly acknowledge and agree that accessing any part of the platform — including viewing content, booking sessions, or downloading materials — constitutes commencement of the service and may reduce or eliminate your statutory or contractual right to cancel or receive a refund, to the extent permitted by applicable law.

1.4 Capacity to Contract

  • You are at least 18 years of age, or have reached the age of majority in your jurisdiction.
  • You have full legal capacity to enter into a binding contract.
  • If acting on behalf of an organisation, you have authority to bind that organisation.
  • You are not subject to any legal prohibition preventing you from entering this agreement.
Fairness Commitment. Where these Terms give Preneurdemy discretion — including decisions on account suspension, refund eligibility, or access restrictions — all such discretionary decisions are made in accordance with internal policies and assessment frameworks designed to ensure fairness, consistency, and non-discrimination. No discretionary decision is made arbitrarily.

3.1 Services Provided

Digital Content & ToolsCourse materials, templates, recorded sessions, AI-assisted features, and downloadable resources.
CertificationsPerformance-verified certificates issued following assessment.
Vision1000 SponsorshipsProgramme enabling corporates and individuals to sponsor student places or fund cohorts.
Partner ProgrammeStructured task submission system for NGOs and SMEs to contribute real-world work briefs.

3.2 Service Modifications

Preneurdemy reserves the right to modify, suspend, or discontinue any service or feature at any time. Where a modification materially affects a service already paid for, reasonable notice will be provided and an appropriate remedy considered in accordance with our Refund & Cancellation Policy.

Account Registration and Security

4.1 Registration Requirements

All information provided at registration must be accurate, current, and complete. You must update it promptly if it changes.

4.2 Account Security

  • You are solely responsible for maintaining the confidentiality of your credentials.
  • You are responsible for all activity that occurs under your account.
  • Notify us immediately at contactus@preneurdemy.com of any suspected unauthorised access.

4.3 One Account Per User

Each individual may hold only one active account. Creating multiple accounts to circumvent restrictions constitutes a material breach and may result in all accounts being permanently closed with no refund entitlement.

Account termination does not extinguish any payment obligations accrued prior to the date of termination, nor does it entitle you to a refund unless required by applicable law or our Refund & Cancellation Policy.

Service Commencement and Digital Access

5.1 Definition of Service Commencement

Service is deemed to have commenced upon the earliest of:

  • Platform account activation following payment.
  • First access to any course module, recorded session, or digital material.
  • Submission of a mentorship request, session booking, or attendance at any session.
  • Entry into a trial task, work simulation, or employer-facing activity.
  • Download or streaming of any resource, toolkit, template, or digital file.

5.2 Pre-Access Consent & Evidence

Before any content is unlocked, all users must complete a mandatory consent checkpoint confirming they have read these Terms and understand that accessing the platform constitutes service commencement. The timestamp, IP address, resource accessed, and device details are logged at consent and at each subsequent access event.


6

Fees, Payments and Billing

6.1 Pricing

All prices are stated at checkout and inclusive of applicable taxes unless stated otherwise. Preneurdemy reserves the right to adjust pricing for future enrolments. Price changes do not affect services for which payment has already been completed.

6.2 Payment Obligation

  • You authorise Preneurdemy to charge the stated amount to your payment method.
  • You confirm you are the authorised account holder or have the account holder's express permission.
  • You accept responsibility for any applicable transaction fees, FX charges, or bank processing costs.

6.3 Instalment Payment Plans

  • All instalments become legally due from the date platform access commences, regardless of continued usage.
  • Each instalment is a separate payment obligation. Missing one does not extinguish remaining instalments.
  • Missed instalments trigger access restriction within 5 business days (3-day grace period applies).
  • Persistent non-payment (30+ days) may result in permanent account closure and referral to debt recovery.

6.4 Employer & Partner Fees

  • Trial fees are due before the trial is activated.
  • Hiring fees become due on confirmation of a hire through the platform.
  • Partner subscription fees are billed monthly or annually as selected.

Refunds and Cancellation

All refund and cancellation matters are governed by the Preneurdemy Refund & Cancellation Policy, which forms part of these Terms. Key principles:

  • Refund eligibility is determined by the stage of service delivery as evidenced by the platform usage log.
  • Accessing any content, booking any session, or entering any trial phase reduces or eliminates refund entitlement.
  • Digital content is generally non-refundable once accessed.
  • No refund is available based on dissatisfaction with employment outcomes.

International Consumer Rights

8.1 Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria. Where mandatory consumer protection laws in your country of residence grant rights that cannot be excluded by contract, those rights are preserved.

8.2 Nigerian Customers

Customers in Nigeria are protected under the Federal Competition and Consumer Protection Act (FCCPA) 2018. Unresolved complaints may be escalated to the FCCPC.

8.3 UK & EU Customers — Statutory Cooling-Off

  • The 14-day statutory cooling-off right applies only where no service has commenced and no digital content has been accessed.
  • Where you request immediate access to services at checkout, you expressly consent to the commencement of service and acknowledge that your statutory cancellation rights are reduced or lost.

UK/EU Digital Content Consent. Where you request immediate access to digital content at purchase, you expressly consent to the commencement of performance and acknowledge the loss of your 14-day statutory right to cancel once the content has been accessed.

User Conduct and Platform Rules

9.1 Acceptable Use

You agree to use all Preneurdemy services honestly, in good faith, and only for the lawful personal educational purpose for which access was granted.

9.2 Prohibited Conduct

(a)Share, sell, or transfer your account credentials to any third party.
(b)Reproduce, distribute, or commercially exploit any content without authorisation.
(c)Engage in academic dishonesty or misrepresent your performance.
(d)Communicate outside the platform to circumvent the platform's commercial systems.
(e)Collect or use personally identifiable information (PII) of other users outside authorised channels.
(f)Use automated tools to scrape or extract data from the platform.
(g)Introduce malware or any code intended to damage the platform.
(h)Engage in harassment, abuse, or discrimination.
(i)Submit false or misleading information.
(j)Attempt to bypass any security, access control, or payment system.

9.3 Consequences

Breach of §9.2 is a material breach. Consequences include: immediate account suspension; permanent termination with no refund; withholding of certifications; and civil proceedings to recover losses.


10

Intellectual Property

10.1 Preneurdemy IP

All content, systems, branding, trademarks, course structures, and platform architecture owned by Preneurdemy are protected by applicable intellectual property laws.

10.2 Licence Granted to You

Subject to payment and compliance, you receive a limited, personal, non-transferable, revocable licence for the specific services purchased.

IP Enforcement. Unauthorised reproduction or distribution of Preneurdemy IP results in immediate termination of access without refund and potential legal action for damages and injunctive relief.

10.3 Your Content

You retain ownership of original content you submit. You grant Preneurdemy a non-exclusive licence to process it for service delivery and anonymised research purposes.

No Employment or Outcome Guarantee

Please Read Carefully. Preneurdemy does NOT guarantee, represent, or warrant that participation in any programme will result in employment, a specific job offer, or any minimum income level.
  • Student outcomes reflect historical data — they are not a guarantee of individual results.
  • Platform performance does not guarantee an employer's hiring decision.
  • Employer trials are an evaluation mechanism — not a guarantee of employment.

Dissatisfaction with employment outcomes is not a valid basis for a refund or claim.

Platform Integrity and Anti-Bypass Rules

12.1 PII Protection Rules

Student PII is masked from employers until a hire is confirmed through the platform. You agree not to solicit or extract PII of other users through any channel.

12.2 No Off-Platform Hiring

All hiring originating from platform contact must be completed through the platform. Any hire originating from platform contact — even if completed off-platform — is subject to the applicable hiring fee.

Bypassing the platform's commercial pipeline constitutes a serious breach. Consequences include immediate account termination and invoicing for the applicable fees.

Data Protection and Privacy

13.1 Primary Framework

Preneurdemy processes personal data in accordance with the Nigeria Data Protection Act (NDPA) 2023 and international standards where required.

13.2 Your Rights

Subject to law, you have the right to access, correct, or request erasure of your data. Contact contactus@preneurdemy.com — Subject: DATA RIGHTS REQUEST.

Limitation of Liability

14.1 Exclusions

To the maximum extent permitted by law, Preneurdemy excludes all liability for indirect, incidental, or consequential losses; loss of income, profits, or data; and employment outcome claims.

Liability Cap. Preneurdemy's total aggregate liability to you shall not exceed the total amount paid by you for the specific service giving rise to the claim.

Confidentiality

You agree not to disclose confidential information accessed through the platform — including scoring algorithms, employer briefs, and other users' data — except where required by law.

Termination

16.1 Termination by Preneurdemy

We may terminate access for breach of Terms, non-payment, or fraudulent conduct. Termination does not relieve you of outstanding payment obligations.

16.2 Voluntary Termination

You may close your account at any time. Voluntary closure does not entitle you to a refund.


18

Chargebacks, Disputes and Fraud

18.1 Pre-Chargeback Contact

Before initiating a chargeback, contact us and allow 5 business days for resolution. Unwarranted chargebacks lead to platform suspension and recovery of fees.

Zero Tolerance for Fraud. Submitting false documentation or accessing content and claiming non-access constitutes fraud, resulting in permanent closure and referral to authorities.
